Spanish scale-up Factorial is acquiring Berlin-based AI startup Empion. The deal hands a German specialist in AI-powered talent assessments to a company that recently joined the ranks of Europe’s most valuable AI scale-ups at a valuation of 2.5 billion dollars. Neither side disclosed the purchase price.

Empion was founded in Berlin in 2021 by Dr. Annika von Mutius and Dr. Larissa Leitner. Its platform uses AI to evaluate candidates on cultural fit, skills and personality, going beyond keyword matching in CVs. Customers include Deutsche Telekom, Procter & Gamble, Siemens Mobility and the Volksbanken group. The company has raised around 9 million dollars to date, with Redstone among its backers, and made an acquisition of its own when it took over Berlin recruiting specialist Zalvus.

Von Mutius, who holds a doctorate in mathematics and sits on the board of the German AI Association (KI-Bundesverband), moves to Factorial along with the Empion team and joins the company’s German leadership. Existing customers will see no immediate change to their contracts or service. Over time, Empion’s technology will be folded fully into the Factorial platform.

The Buyer: Fresh Capital and a German Focus

Factorial was founded in Barcelona in 2016 by Jordi Romero, Bernat Farrero and Pau Ramon, and says it now serves more than 17,000 companies across over 90 countries. It reached unicorn status in 2022. A Series D round followed recently: 150 million dollars at a 2.5 billion dollar valuation, led by General Catalyst in its first direct investment in the company, alongside Atomico and Four Rivers. General Catalyst’s Customer Value Fund adds up to 540 million dollars earmarked for sales and marketing, bringing total committed capital past 700 million dollars (Trending Topics).

Factorial made its priorities clear at the time of that round. Germany is the company’s most important European market, it opened an office in Munich, and it plans to hire up to 50 people a week globally. The Empion acquisition follows directly from that strategy. It gives Factorial blue-chip German reference customers, an established Berlin team and, according to the announcement, several million dollars in annual recurring revenue.

Taking On Personio, With Product Depth as the Lever

The real contest plays out in the target’s home market. Factorial and Munich unicorn Personio both go after small and mid-sized businesses, with Personio valued in the high single-digit billions and holding the larger position (Trending Topics). A challenger in that market can compete on price, on distribution or on feature depth. Factorial is visibly betting on the third.

AI-powered assessments for recruiting, performance and engagement typically reach HR platforms through third-party integrations. Empion brings that capability natively into Factorial’s product: culture-fit assessments are already live, with psychometric, cognitive, motivational and skills assessments to follow. The fit is neat for Factorial’s “AI-first” positioning, which the company has pushed since the Series D, because assessment data supplies exactly the kind of structured signal that agent-based features run on.

The category also sits on sensitive regulatory ground. AI systems used in recruiting fall into the high-risk tier under the EU AI Act, with the documentation, transparency and human oversight obligations that come with it. A European vendor making a European acquisition has an easier position here than US competitors, which explains part of Empion’s strategic value beyond the product itself.

The European Angle

The direction of this deal is worth noting. German tech companies that exit are bought by US acquirers at an above-average rate, a pattern that keeps fuelling debate about technology and value creation leaving the continent. Here a Spanish scale-up is buying a German startup, and both sides frame the combination as an attempt to build a leading European AI company.

It is no longer an isolated case. Linz-based AI startup Emmi AI was recently acquired by French champion Mistral AI (Trending Topics). As European scale-ups accumulate capital, intra-European acquisitions become a realistic option in the first place. After its latest round, Factorial has the means to buy its way into the German market instead of building there from scratch.

How durable the European narrative proves will come down to the integration. Several questions stay open for now: the purchase price, the split between cash and equity, and what the exit returns to Empion investors who put in roughly 9 million dollars. The announcement is also silent on how many Berlin jobs remain over the long run. For the location, the commitment on the table is that von Mutius and her team are staying.
