Bending Spoons Grows to $25.7B After Strong IPO

Milan-based software company Bending Spoons SpA has completed its IPO with a strong market debut. While shares surged on the first day of trading, details regarding recent acquisitions, such as Tractive, highlight the group’s consistent, technology-driven efficiency strategy.

Bending Spoons shares closed at $40.50 on Wednesday, significantly above the IPO price of $29.00. As part of the IPO, in which the company and its backers raised a total of $1.68 billion, nearly 58 million shares were sold. Following the conclusion of its debut, the 13-year-old company’s market capitalization stands at $25.7 billion—more than double its last private valuation of $11 billion.

The Tractive Transaction: Figures and Background

A central component of the growth strategy is the acquisition of the Austrian technology company Tractive. Details of the transaction, which according to the prospectus represents a new dimension for the Austrian startup market, have now become transparent: the total acquisition volume amounts to $900 million (approx. €770 million).

The deal was agreed upon on March 25, 2026, and closed on May 18, 2026. Payment is staggered: $781 million was paid upon closing, while an additional deferred sum of $119 million will be due one year after completion. Tractive, founded in 2012 and known for its pet GPS trackers, was considered Upper Austria’s only “unicorn” prior to the takeover and recently achieved annual revenue of over €100 million.

Strategic Realignment and Personnel Consequences

Behind the record price for Tractive lies a profound operational restructuring. To maximize the efficiency of newly acquired brands, Bending Spoons relies on high-level technical automation. According to reports, the group is planning massive job cuts at the Pasching location, which could affect around 160 positions. This would mean more than half of the approximately 300 employees would be affected by layoffs.

Bending Spoons justifies this move with the need for a “leaner organization” to ensure long-term flexibility. The company relies on its own proprietary software infrastructure. Using tools such as “Minerva,” “Juno,” “Xina,” “Matrix,” or “Galf,” central business areas—including marketing, user experience (UX), payments, and analytics—are largely controlled through automation. This pattern of consolidation through technology was already observed in previous acquisitions like WeTransfer or Vimeo.

Business Model and Financial Development

Bending Spoons’ business model is based on acquiring established but stagnating software brands such as AOL, Evernote, Meetup, or Vimeo and making them profitable through cost reductions and new features. In contrast to private equity models, the group does not plan to resell the companies. The revenue model is heavily focused on subscriptions, which accounted for 84% of the business last year.

Financial metrics reflect this focus on profitability: For the first quarter, Bending Spoons reported revenue of $601 million and a net profit of $27.4 million. This represents a significant turnaround compared to the same period last year, when the company reported a net loss of $112 million.

Investors and Founders

Prior to the IPO, Baillie Gifford was the largest external shareholder, followed by investors such as Renaissance Partners, Cox Enterprises, Durable Capital Partners, Fidelity, and T. Rowe Price. The IPO also represents a significant financial success for the five co-founders: Luca Ferrari, Francesco Patarnello, Matteo Danieli, Luca Querella, and Tomasz Greber.
